Are you a junior legal professional with strong transactional and compliance skills, and a passion for renewable energy? A leading international investment and asset management firm is seeking a Legal Officer to join its dynamic legal team in Nairobi. 

Our client is a well-established player in the renewable energy and infrastructure investment space, managing capital on behalf of global institutional investors. The firm has an active presence across Sub-Saharan Africa and the Middle East, focusing on sustainable energy solutions that deliver both financial returns and long-term environmental and social benefits. 

The Legal Officer will play a vital role in supporting cross-border transactions, compliance, and governance across multiple jurisdictions. This is an excellent opportunity for a motivated legal professional looking to grow within a mission-driven, fast-paced organization. 

RESPONSIBILITIES:
  • Prepare legal documents such as term sheets, NDAs, power purchase agreements, and other transaction-related paperwork. 
  • Coordinate legal due diligence by gathering and organizing necessary documentation. 
  • Monitor documentation requirements, manage execution processes, and maintain transaction records. 
  • Facilitate communication between internal teams and external legal advisors to ensure smooth coordination. 
  • Manage conditions precedent documents and maintain version control. 
  • Oversee compliance and legal documentation flow for potential investors. 
  • Update and maintain corporate records, including drafting board and shareholder resolutions. 
  • Assist with company incorporation processes and annual filings. 
  • Coordinate with service providers to maintain compliance and governance standards. 
  • Oversee compliance documentation, including KYC and investor reporting. 
  • Support compliance processes related to anti-bribery, AML, and tax regulations. 
  • Assist with investor onboarding and respond to legal and compliance documentation requests. 
  • Maintain standard templates for confidentiality agreements and other documents. 
  • Draft concise reports summarizing findings and suggested actions. 
  • Provide administrative support to the legal team, including scheduling and document management. 
  • Conduct legal research and offer support to cross-functional teams as required.
